Rules and Bye - Laws

1. Name:

The name of the Regional Organization shall be the "Asian Regional Organization of Banks, Insurance & Finance Unions AROBIFU" (hereinafter referred to as the Organization).

2. Office:

The registered office of the Regional Organization shall be at "Prabhat Nivas", Singapore Plaza, 164, Linghi Chetty Street, Chennai - 600 001, India or such other place as may be decided by the Directive Bureau of the Organisation.

3. Objects:
The objects of the Regional Organisation shall be as follows:
  1. To promote understanding, friendship, solidarity amongst Asian People in general and Bank & Financial Sector Employees in particular and to promote balanced Regional and National level development by developing and harnessing national and human resources of the region to the maximum possible extent.

  2. To exchange views among all member organisations, periodically on matters concerning the people of the respective countries and the concerned member organisations.

  3. To collect, store and circulate information concerning the member organisations, towards creating awareness and understanding among member organisations.

  4. To carry out research on matters concerning the member organisations, such as casualisation, contractualisation, outsourcing, job insecurity etc., thereby attempting to de-unionise the organised trade union movement in the member countries and extend solidarity and assistance to member organisations to resist such moves of de-unionisation.

  5. To extend solidarity and assistance to member organisations against suppression of trade union and basic human rights.

  6. To carry-out education and training to develop knowledge, strength and awareness of member organisations and to improve leadership skills of members of the member organisations.

  7. To resist and oppose all efforts of external forces, either directly or indirectly, that may hinder the socio – economic growth of the developing countries, particularly the Asian Countries.

  8. To secure the effective organisation in the Unions of Employees in the Banks and Financial Sector Establishments in the countries within the Asian Region.

  9. To watch, promote, safeguard and further the interests, rights and privileges of the members of the Unions as working people.

  10. To assist and promote friendly relations and co-operation with other trade unions and to promote solidarity with other organisations of workers in matters concerning the interest of the working class.

  11. To provide possible benefits or assistance to Member Unions in connection with strikes and lockouts, victimization, unemployment and other matters connected with their employment or arising out of their Union activities.

  12. To act in solidarity to defend and promote basic democratic freedoms and human rights of the working people.

4.Membership:

Membership of the Regional Organisations shall be open to all Banking, Insurance & Financial Sector Unions in the Asian Region.

5. Enrolment of Member Organisations:

Enrollment of member organisations shall be approved by the Office-Bearers of the Regional Organization with the majority consent of all other existing member organisations.

6. Fees, Dues and Levies:
  1. The annual membership fee of each member organisation shall be US$ 200 out of which the general administrative expenses and activities in the direction of the above referred objectives of the Regional Organization shall be met.

  2. Special contributions towards the general fund of the Regional Organization, in addition to the prescribed membership fee, may be made by member organisations depending on their affordability and obtain funds towards the general fund, through other organisations which are supportive of the cause of trade union movement.

  3. The annual subscriptions shall be paid by the beginning of each calendar year.

  4. Member organisations which are in arrears of annual membership fee under rule 6 (a) above, for more than 01 year, shall not be eligible for any aid or benefit of the Regional Organisation nor for any election as an Office Bearers or election to the Directive Bureau of the regional Organisation.

  5. Member organisations which are in arrears of their annual fee for over 3 years shall cease to have all rights of membership and shall cease to be members, if the Office Bearers so decide.

  6. In the case of any member organisation which, due to justifiable financial unaffordability, may in writing seek approval of the Directive Bureau for exemption of annual fee during a period of one year, subject to the covering approval of the general body.

7. Rights & Duties:

Every member of the Regional Organization shall, subject to these rules, have the right to participate in, and vote at, elections of the Office Bearers / Directive Bureau and at general body.

It shall be the duty of every member organization:

  1. To abide by these rules and by all decisions of the organization, taken in accordance with the rules.
  2. Not to act in any manner detrimental to the interests of the Organisation and its members.
  3. To attend meetings of the Organization when convened by the Office Bearers.
8. Resignation:

Any member organisation wishing to resign from membership of the organization shall notify the Secretary General in writing and such member organisation shall cease to have any further rights in the Organization with immediate effect.

9. Suspension & Expulsion:

Any member organization which has been found guilty of a serious breach of the Regional Organization’s objectives under Rule 3 and duties under Rule 7 above shall be liable for suspension from membership by the Directive Bureau and such decisions shall be reported to the General Body for necessary decision with the least possible delay.

10. Office Bearers:

  1. President
  2. 2 Vice-Presidents
  3. Secretary General
  4. Dy.Secretary General
  5. Treasurer
  6. Asstt. Treasurer

And they shall be elected triennially by the member organizations, by majority vote.

11. Directive Bureau:

The Directive Bureau which shall decide on all matters concerning the functioning of the organization and it shall constitute of the Office Bearers referred to in clause 10 above and 1 representative from each member organization.

12. General Body:

The General Body meeting of the Regional Organization shall be the Supreme Body of the organization, which shall constitute of three delegates from each member organization and meeting of the General Body shall be held once in three years.

13. Powers of the Directive Bureau :

The Directive Bureau shall have the authority –

  1. To appoint, recruit or dismiss staff required for the running of the Office of the Organisation and to determine the conditions of employment.
  2. To interpret the constitution of the Union.
  3. To appoint Special or Standing Committees for any specific purposes.
  4. To act in terms of Rule 9.
  5. To authorize expenditure of Organization’s Funds in accordance with these rules.
  6. To act in any way not inconsistent with these rules in furtherance of the objects of the Organization.
  7. To decide on any matter not provided in these Rules.
14. Responsibilities of the Office Bearers:

The Office Bearers shall be responsible for

  1. Giving effect to decisions of the Directive Bureau and the General Body.
  2. Proper administration and functionings of the Organization and its activities.
  3. Summoning meetings of Directive Bureau and General Body of the Organization, when necessary.
15. Meetings:
  1. The President shall of ex-officio Chairman of all meetings of the Organization and shall be responsible for the proper conduct of the business of such meetings. If the President is absent, or for any reason fails to function as Chairman of any meeting, the Vice President shall be elected to the Chair, or in their absence, any member accepted by the majority of the members present shall act as Chairman.

  2. No meeting of the Organisation shall be terminated or adjourned before conclusion of its business without the consent of the majority of the members present.

  3. Any matter arising for decision at any meeting of the Organisation, shall in all cases where a decision is taken, be decided by a simple majority, unless otherwise provided for in the Rules.

16. Notice For Meetings:
  1. Triennial General Body Meeting:

    14 clear days’ notice in writing shall be given of the time and place of the meeting together with the copy of the Agenda, copy of the Audited Accounts and Balance Sheets, any resolution and/or amendments to the Constitution for discussion and adoption by the member organisations and a copy of the Secretary General’s Report on the work done by the Organization for the period under review.

  2. Office Bearers:

    At least 7 days’ notice in writing shall be given of the time and place of the meeting stating the specific purpose(s) for which the meeting is called.

17. Quorum:
  1. The quorum for a Tri-ennial General Body meeting shall be 1/3 of the total member organizations provided however, in the event of making any major decisions, the quorum shall not be less than 50%.
  2. The quorum for Directive Bureau shall be 1/3 of the total members.
  3. The quorum for Office Bearers Meeting shall be 3 members.
18. Funds:
  1. The funds of the Organization shall be deposited in the name of the Organisation in any recognized bank or banks and such account(s) shall be operated by the President/ Vice Presidents / Secretary General / Dy. Secretary General jointly with Treasurer / Asstt. Treasurer.
  2. The Funds of the Organisation shall not be spent for any purpose other than the furtherance of objects mentioned in this Constitution.
19. Audit & Inspection of Books:

The Organisation’s register of members and its account books shall be made available for inspection to members provided 7 days’ notice in writing is given to the Secretary General.

20. Office Bearers:

The Office Bearers of the Organisation shall be the custodian. All property, movable or immovable of the Organisation shall be vested on the Office Bearers and shall be under the control of the Office Bearers, subject to these rules.

21. Affiliation, Amalgamation and Dissolution:
  1. The Organisation may Affiliate itself to or disaffiliate itself from or become amalgamated with any other association or federal body as have the same or similar objects and activities, provided at least 2/3 of the General Body present at a General Meeting vote in favour of such proposal.

  2. The Organisation may dissolve and the funds thereof disposed of, provided that at least two thirds of the total membership registered at the time, vote in favour of such dissolution by voting at a referendum specially convened for this purpose. After discharging the liabilities of the Organization, the funds may be disposed of, in accordance with the decision of the same forum.

22. Amendments to the Constitution:

Amendments or additions to the provisions of this Constitution of the organisation shall be made by the majority votes of a General Body Meeting convened with specific agenda of amendment/s.

23. Matters not Provided for:

On all matters not provided for in these rules, the decision of the Directive Bureau shall be final provided such decision shall not be inconsistent with rule 3.
